These Terms and Conditions (“Terms”) govern your access to and use of Equillect (the “Platform”), including any website, application, dashboard, or services offered through it.

Equillect is owned and operated by Lucema Tech Private Limited, a company incorporated under the Companies Act, 2013, having its registered office in Amreli, Gujarat, India (“Company”, “we”, “us”, or “our”).

By accessing or using the Platform, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, please do not use the Platform.

1. Definitions

“Platform” refers to the website (www.equillect.com), the dashboard (dashboard.equillect.com), and all related services, tools, and communications provided by us.
“User” refers to any individual or entity accessing the Platform, including Founders, Investors, partners, or visitors.
“Founder” refers to individuals or entities listing startups or seeking investment.
“Investor” refers to individuals or entities browsing startups, receiving pitches, or engaging with founders.
“Content” refers to all text, data, pitch decks, graphics, and information uploaded by Users.

2. Nature of the Platform & Intermediary Status

Equillect is a technology platform acting as an Intermediary as defined under the Information Technology Act, 2000. We facilitate discovery and communication between startups and investors.

We do not provide investment advice.
We do not act as an investment advisor, broker, merchant banker, or agent.
We do not guarantee funding, investment, responses, or specific business outcomes.
We do not participate in negotiations, due diligence, or transactional agreements between users.

All decisions related to investments, fundraising, partnerships, or collaborations are made solely at the users’ discretion and risk.

3. Eligibility to Use the Platform

To use Equillect, you must:

Be at least 18 years of age.
Have the legal capacity to enter into a binding contract under the Indian Contract Act, 1872.
Provide accurate and truthful information.
If representing an organization, possess the authority to bind that organization to these Terms.

4. User Accounts & Security

You are responsible for maintaining the confidentiality of your login credentials.
You are responsible for all activities conducted through your account.
We reserve the right to:
- Suspend or terminate access without notice.
- Remove content or accounts that violate any Terms.
- Restrict access to protect the Platform or other users.

5. User Responsibilities & Conduct

You agree to use the Platform only for lawful purposes. You shall not:

Host, display, upload, or share any information that belongs to another person and to which you do not have a right.
Provide false, misleading, or fraudulent information.
Infringe upon any patent, trademark, copyright, or other proprietary rights.
Upload software viruses or any code designed to interrupt or destroy the functionality of the Platform.
Engage in spam, harassment, or unsolicited bulk communications.
Misuse investor or startup data.
Impersonate any person or entity.

6. Founder & Investor Obligations

Founders

Founders are solely responsible for:

The accuracy of startup information, financials, and claims.
Ensuring compliance with applicable laws.
All communications with investors.

Equillect does not verify user-provided content.

Investors

You acknowledge that:

Startups are high-risk investments.
All investment decisions are made independently.
Equillect does not endorse or recommend startups.
Investment involves risk, including loss of capital.

Equillect does not verify user-provided content. You agree to conduct your own due diligence (legal, financial, and technical) before committing capital. Equillect is not liable for any loss of capital.

7. Communication & Emails

By using the Platform, you consent to:

Receiving platform-related emails and notifications.
Receiving communications sent on behalf of other users.

8. Fees, Payments & Refunds

We may offer free, paid, or beta features. Pricing is subject to change.
Pricing, subscriptions, and discounts may change at our discretion.
Features may be limited, modified, or discontinued without notice.
No Refunds: Unless explicitly stated otherwise, all fees paid to Equillect are non-refundable.
Payment Failure: We shall not be liable for any loss or damage arising directly or indirectly from the decline of any transaction for any reason.

9. Intellectual Property Rights

Company IP: Lucema Tech Private Limited owns all rights, title, and interest in the Platform, including the logo, software, code, and aggregated data.
User Content: You retain ownership of the content (e.g., pitch decks) you upload. However, you grant us a worldwide, non-exclusive, royalty-free license to host, display, and process this content for the purpose of providing and enhancing Services.

10. Links to and from the Platform

Outbound Links: Our website may include links to other (third party) websites (e.g., investor portfolios, VC/Startup websites, partner tools). We have no control over, and assume no responsibility for, the content or practices of any third-party sites.

Inbound Links: You may link to our home page, provided you do so in a way that is fair and legal and does not damage our reputation. However, you must not establish a link in such a way as to suggest any form of association, approval, or endorsement on our part where none exists. The website must not be framed on any other site.

11. Limitation of Liability & Disclaimers

11.1 Disclaimer of Warranties ("As Is")

The Platform and all Services are provided on an "AS IS" and "AS AVAILABLE" basis. We expressly disclaim all warranties of any kind, whether express or implied.

11.2 Accuracy of Information

Neither we nor any third parties provide any warranty or guarantee as to the accuracy, timeliness, performance, completeness, or suitability of the data, information, and materials found or offered. You acknowledge that such information and materials may contain inaccuracies or errors and we expressly exclude liability for any such inaccuracies or errors to the fullest extent permitted by law.
Your use of any information or materials on our websites and/or product pages is entirely at your own risk, for which we shall not be liable. It shall be your sole responsibility to ensure that any products, services, or information available are valid and meet your specific requirements.

11.3 Limitation of Liability

To the maximum extent permitted by law, in no event shall the company (Equillect and Lucema Tech Private Limited), its directors, employees, or agents be liable for:

Any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or any other tangible or intangible losses.
Any damages resulting from your access to or use of (or inability to access or use) the Platform.
Any conduct or content of any third party on the Platform, including any defamatory, offensive, or illegal conduct of other users or third parties.
Any disputes, losses, or claims arising from interactions, negotiations, or deals made between users.

12. Indemnification

You agree to indemnify and hold Equillect and Lucema Tech Private Limited harmless from any claims, losses, damages, or expenses (including legal fees) arising from your use of the Platform, your violation of these Terms, your misrepresentation or unlawful conduct, or your infringement of any third-party rights.

13. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of India.
Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts in Amreli, India.

15. Updates to Terms

We reserve the right to modify these Terms at any time. Changes will be effective immediately. Your continued use of the Platform constitutes acceptance of the revised Terms.

These Terms, along with the Privacy Policy, Disclaimer, and Refund & Cancellation Policy, constitute the entire agreement between you and the Company and supersede all prior communications.
